    Legal Manager

    GENERAL JOB DESCRIPTION:

    This positions’ key responsibilities are:

    • Ensure adherence to all statutory requirements, corporate governance policies, guidelines and regulations, including timely filing of statutory returns, preparation of board minutes and related executive and board support.
    • Draft, review, and negotiate various contracts including loan agreements, partnership agreements, service contracts, and employment agreements. Achieve the set SLA targets.
    • Manage potential litigation matters on recovery and operational issues and coordinate with external counsel to ensure timely completion of assignments. Zero litigation.
    • Ensure efficient and cost-effective utilization of legal resources, including external legal fees negotiation, internal legal budgets, and compliance with budgetary constraints.

    SPECIFIC JOB RESPONSIBILITIES:

    The Legal Manager is responsible and accountable for the following core job elements:

    • Reviewing or drafting agreements / contracts and advising on a broad range of local regulatory and legal matters related to strategic decisions, investment, human resources and other corporate issues.
    • Participating in establishing policies and procedures to facilitate efficient operation of administrative systems and related tasks.
    • Supervising and participating in the preparation and review of all contracts with customers, ensuring enforceability of agreements with clients and offering legal opinions.
    • Assisting in recruitment, facilitating the integration of new hires with existing systems and policies, and designing and implementing training programs for legal staff.
    • Handling debt collection in cases of repayment default through the realization of the institution's security or through court proceedings.
    • Developing, reviewing, and maintaining data protection policies & procedures, serving as the central contact for related issues.
    • Handling various conveyancing tasks such as purchases, sales, charges, leases, contracts, agreements, surrenders, easements, licenses and related legal matters and advising management accordingly.
    • Developing a database of external lawyers, negotiating with advocates holding briefs on behalf of the company upon approval and providing Company Secretarial services.
    • Development and implementation of strategic legal risk management initiatives, including comprehensive analysis and reporting on legislative, regulatory, and market changes.

    EDUCATIONAL AND COLLATERAL REQUIREMENTS:

    • Bachelor’s degree in law from a recognized University and a Diploma in Law from Kenya School of Law.
    • Five or more years of experience in company secretarial services as well as legal risk management experience within the banking sector / MFI environment / in a busy corporate body or law firm of good repute.
    • Must be an Advocate of the High Court of Kenya in good standing with the Law Society of Kenya with a current advocate’s Practicing Certificate.
    • Strong technical legal ability in drafting, reviewing documentations and properly interpret and incorporate legislation and regulations.
    • Knowledge on sound corporate governance principles based on the CBK Prudential Guidelines, the Companies Act, 2015 and the global best practices.

    Head of Bancassurance

    GENERAL JOB DESCRIPTION:

    This positions’ key responsibilities are:

    • Assess potential risks and liabilities faced by the company and identify appropriate insurance coverage to effectively mitigate these risks. Ensure zero exposure to loss.
    • Ensures that the Company’s insurance coverage complies with applicable regulations and the strategic direction of the Company. Zero litigations.
    • Conduct thorough market research, develop, recommend, and implement customer centered insurance policies and services to achieve business growth and revenue targets.
    • Maintain timeliness, accuracy and adequacy of insurance related reports provided to the management, board and other stakeholders. Provide recommendations, input into strategic planning.

    SPECIFIC JOB RESPONSIBILITIES:

    The Head of Bancassurance is responsible and accountable for the following core job elements:

    • Developing strategies to help customers secure appropriate insurance coverage for their needs, including negotiating favorable terms with insurers on their behalf.
    • Acting as a central point of contact for insurance-related matters across the organization, providing guidance and support to various departments as needed.
    • Cultivating strong partnerships with insurers to facilitate collaboration, negotiate favorable terms, and ensure effective communication.
    • Conducting thorough market research to identify emerging trends, customer needs, and opportunities for improving the company's insurance products and services.
    • Working closely with cross-functional teams and product owners to translate insurance strategies into tangible products and services that meet user needs and align with the company's overall objectives.

    EDUCATIONAL AND COLLATERAL REQUIREMENTS:

    • Bachelor’s degree in business administration or a related field from a recognized University and a post graduate certification in Management or Insurance. An MBA is an added advantage.
    • Ten or more years of experience, five of which must be in a similar senior role driving end-to-end product initiatives, rapid and successful partnership initiatives in the banking or fin-tech or Insurance businesses.
    • Ability to expertly analyze P&L and ensure strategic alignment. Proficient in risk analysis, coverage, underwriting, rating, markets and contracts; adept at communicating insights to team members.
    • Must be passionate about creating social impact through education and willing to travel to low-income communities to evaluate customer’s businesses.

    Head of Corporate Affairs

    GENERAL JOB DESCRIPTION:

    This positions’ key responsibilities are:

    • Lead the development and execution of strategic plans for impact and corporate affairs initiatives, ensuring alignment with organizational goals and priorities.
    • Build and manage relationships with key stakeholders, including grant donors and related partners, government agencies and community organizations, to support program objectives and enhance the organization's social and business impact and reputation.
    • Oversee the allocation and utilization of resources, including budgetary management, staff supervision and coordinate grant-seeking activities to maximize impact against targets and achieve organizational growth targets.
    • Maintain timeliness, accuracy and adequacy of marketing, brand, communication and impact related reports for various stakeholders. Provide recommendations, input into strategic planning.

    The Head of Impact & Corporate Affairs is responsible and accountable for the following core job elements:

    • Understand, own and execute the Company’s brand strategy within Kenya across marketing, communications and corporate relations. Ensure brand consistency and alignment with business objectives.
    • Develop content and campaigns aligned with brand strategy, tailored to target audiences and media channels.
    • Craft and execute brand sponsorship strategy to enhance brand consideration and loyalty. Lead marketing campaigns and sales activities to drive business growth and customer engagement.

    EDUCATIONAL AND COLLATERAL REQUIREMENTS:

    • Bachelor’s degree in business, branding, Marketing, Communication or a related field from a recognized University and a post graduate qualification in marketing or communication.
    • Seven or more years of experience in branding, marketing and communications in a senior management role, operating in a multinational business. Experience in the financial services / MFI environments is preferred.
    • Ability to manage diverse stakeholder relationships, craft long-term strategies aligned with business goals, and innovatively resolving challenges in brand development and reputation management.
    • Sound technical understanding of the regulatory / operating environment with respect to the product development / management and consumer protection in financial services. Hands on experience in digital marketing is an added advantage.

    Chief of People & Culture

    GENERAL JOB DESCRIPTION:

    This positions’ key responsibilities are:

    • Develop and implement business-aligned HR strategies to achieve annual objectives and targets.
    • Ensure an optimized organizational structure, right people in the right positions, a pipeline of suitable candidates for positions in the expansion plans. Manage headcount costs and turnover targets.
    • Ensure seventy-five percent or more of the staff achieve their set targets, remedial or reward actions are completed on time and redundant positions are closed. Each staff attends at least one capability course.
    • Promote a forward-looking company culture, ethics and compliance, enforce agreed-on actions against violations at all levels consistently.

    EDUCATIONAL AND COLLATERAL REQUIREMENTS:

    • Master’s degree in human resource management or equivalent from a recognized University and a CHRP-K membership certification.
    • Ten or more years of progressive HR generalist experience, five of which must be in a similar senior role, with measurable HR results. Financial Services experience preferred.
    • Proficient in data-driven decision-making, change management, DEI principles, and leadership development.
    • Must be an active member of IHRM with valid HR Practicing Certificate.
    • Excellent interpersonal, coaching, negotiation presentation skills. Good Microsoft Windows skills
    • Self-starter, team player, mature individual with outstanding strategic, analytical, numerate, creative skills, communication and presentation talents.
