    Manager (Company Secretariat, Legal Services & Compliance)

    Principal Accountabilities
    Compliance

    • All responsibilities related to full compliance by the Company with the Kenya Companies Act and other applicable laws and regulations.
    • Ensuring compliance by the company with regulations.
    • Liaising with Insurance Regulatory Authority (IRA) and attending to queries on the Company’s compliance with the Proceeds of Crime and Anti-Money Laundering (AML) Act  and Counter-Terrorism Financing(CTF) Legislations.
    • Supporting the implementation, continuous improvement, and monitoring of AML (Anti-Money Laundering and CFT (Counter-Terrorism Financing) programs in the Company.
    • Advising Management on AML and other compliance issues.
    • Ensuring timely rendition of Returns to appropriate regulatory bodies and update to date compliance record keeping system.
    • Interpreting regional and international anti-money laundering policies recommendations and liaising with the Group Chief Compliance Officer to develop strategies for monitoring compliance at the subsidiary.
    • Liaising with the group compliance function to develop business specific anti-money laundering compliance programme for the Company.

    Legal Services

    Advising the Company on complex reinsurance transactions including:

    • Draft, review, and negotiate a wide range of complex commercial agreements (including distribution agreements, reinsurance partnership agreements, reinsurance agreements, and nondisclosure agreements) that support and enable the Company’s business operations while considering applicable regulatory, reporting, and accounting requirements.
    • Provide advice and support for the sale of multiple lines of reinsurance and warranty products, demonstrate an understanding of general principles of insurance law, and assist in supporting company business objectives, while noting legal risks and parameters under various courses of action.
    • Providing legal advice to management and staff in all areas of the company’s  activities and proffering solutions to legal problems, constraints, risks, options, consequences, and approaches.
    • Provide oversight of the arbitration and litigation of disputes involving reinsurance.
    • Assist in the development of local legal strategies, contracts, and other legal documentation.
    • Provide legal advice and business support to the entire business.

    Company Secretariat

    • Manage the subsidiary’s boards and board committees’ meeting processes.
    • Attending board and committees’ meetings and ensuring that all decisions of the Board are accurately and appropriately recorded in the minutes of the meeting.
    • Tracking to completion actions arising from board and committee meetings.
    • Maintaining board and committee records, including meeting papers, minutes, and other documentation.
    • Ensuring accuracy of directorate submissions and lodging of forms with relevant authorities.
    • Maintaining company statutory and other records and supporting compilation of company annual reports.
    • Following up on matters arising from Board meetings and prepare updates for the next meeting.
    • Following up on the implementation of Board resolutions to ensure that they are actioned and that there are high standards of accountability.
    • Arranging for Directors induction program as per agreed induction procedure.
    • Acting as the principal resource personnel to Management by proffering advice on wide range of governance and compliance issues.
    • Contributing to the establishment of internal Company Secretariat procedures, guidelines, and templates.
    • Assisting in identifying, analysing, and reporting on the regulatory developments and best practice/good corporate governance and where opportunities arise, partner with the business to assist with strengthening governance practices.
    • Maintaining a current knowledge base of external corporate governance requirements, trends, and key matters of interest for Board.
    • Reviewing, drafting, and amending Constitutions and Board and Committees’ Charters as required.

    • Ability to understand complex compliance related issues to drive informed decision-making in the Company.
    • Strong business acumen to advise the business on how to deliver results whilst managing compliance related risks.
    • Ability to proffer solutions to matters in a straightforwardly and compellingly manner.
    • Demonstrates empathy, emotional intelligence, and self-awareness.

    Functional Competencies

    • 7+ years of related experience within a mid-to-large-sized organization.
    • Relevant experience in company secretarial practice, legal services and regulatory compliance.
    • Strong organizational, analytical, and critical-thinking skills, as well as the ability to identify and resolve compliance issues.
    • Broad knowledge of the insurance regulatory environment.
    • Credibility and ability to engage and influence senior external stakeholders.
    • Clear and compelling written and verbal communication skills.

    Qualifications

    • Bachelor’s degree  in law.
    • Master’s degree is an added advantage.
    • Membership of Institute of Certified  Secretaries Kenya.
    • Accredited AML/CFT Officer is an added advantage.
