Assistant Company Registrar at Cezam and Associates Limited (CEZAM)

Job Description

The position reports to the Company Registrar and will have responsibilities as follows:

• Maintain members Register for companies in the firm’s portfolio
• Preparation and filing of all company’s resolutions, share allotment, share transfers, changes in directorships, increase/decrease in share capital winding up of companies, etc
• Filing of annual companies’ returns
• Attendance and taking of minutes at company’s AGM’S and Board of Directors meetings
• Incorporation of companies
• Advise clients (Boards of Directors) on corporate governance issues
• Fair knowledge and application of the provisions in the new companies Act, 2015
• Undertake other duties related to company secretarial practice, as required

Requirements

• University degree in finance, law or related field
• Certified Public Secretary (CPS) qualification is mandatory
• At least 3 years relevant experience dealing with private businesses is mandatory
• Excellent English communication and presentation skills
• High level of integrity and professional competence
• Proficiency in MS Office applications
