Objective of the RFP
The objective of this RFP is to select a reputable audit firm to:
- Conduct an independent statutory audit of FFI Kenya’s financial statements for the year ending 31 December 2026.
- Provide audit opinions that meet Kenyan statutory requirements and donor-specific audit requirements.
- Provide management letter with findings, recommendations, and agreed action plans.
Scope of Services
The selected auditor will be required to:
- Audit of Financial Statements
- Audit the statement of financial position, statement of comprehensive income, statement of changes in funds, cash flow statement, and notes to the financial statements.
- Express an opinion on whether the financial statements present fairly, in all material respects, the financial position and results in accordance with International Financial Reporting Standards (IFRS) and applicable Kenyan regulations.
- Donor Compliance Reviews
- Perform audit procedures to satisfy donor-specific requirements (e.g., Defra, Mitsubishi, UK Statutory Funding, PEW, Perretti, private foundations and Internal funds etc) as specified in grant agreements.
- Verify compliance with donor terms, budget lines, and eligible expenditures.
- Internal Controls and Systems Review
- Assess the adequacy of internal financial controls, procurement, payroll, asset management, and grant management systems.
- Provide recommendations to strengthen internal controls.
- Management Letter
- Provide a detailed management letter highlighting weaknesses, risks, and practical recommendations with prioritized action plans and timelines.
- Audit Clearance and Follow-up
- Assist in responding to audit queries from donors where necessary.
- Conduct follow-up review of agreed actions if requested.
Deliverables and Timelines
- Draft Audit Plan: within 14 working days after contract signing.
- Interim Fieldwork-dates to be agreed.
- Final Fieldwork: dates to be agreed
- Draft Audit Report and Management Letter: within 14 working days after completion of fieldwork.
- Final Audit Report (signed): within 30 working days after receipt of management responses.
- Presentation to Kenya Program Leadership: on request, within 14 working days of final report issuance.
FFI Kenya expects the audit to be completed and final reports delivered no later than [To be agreed]. .
Eligibility and Minimum Qualifications
Proposals will only be considered from firms that meet the following minimum criteria:
- Registered and licensed to practice as auditors in Kenya (Certificate of Practice and registration with ICPAK).
- At least 5 years’ experience auditing NGOs, international NGOs, or donor-funded projects.
- Demonstrable experience with donor-funded audits (e.g., Defra, Mitsubishi, UK Statutory Funding, PEW, Perretti, private foundations and Internal funds etc).
- Professional indemnity insurance.
- No conflict of interest with FFI Kenya or its partners.
Proposal Submission Requirements
Firms must submit the following documents and information:
Technical Proposal
- Cover letter signed by an authorized representative.
- Firm profile, including registration documents, ICPAK certificate, and proof of insurance.
- Description of relevant experience (NGO/donor audits) with at least three references and contact details.
- Proposed audit team composition, CVs of key personnel, and confirmation of partner-level involvement.
- Audit approach and methodology, including risk assessment, sampling approach, and quality control procedures.
- Proposed audit timetable and key milestones.
Financial Proposal
- Detailed fee schedule (professional fees, travel, per diem, taxes, and any other costs) presented in KES and USD.
- Payment terms and conditions.
Compliance and Certifications
- Declaration of independence and absence of conflicts of interest.
- Anti-bribery and anti-corruption policy statement.
- Copies of recent quality assurance reviews (if available).
Optional
- Examples of previous audit reports (redacted) for NGOs/donor-funded projects.
All proposals must be signed and dated. Proposals submitted without the required documentation may not be considered.

FFI Kenya reserves the right to request clarifications, conduct interviews, and perform due diligence before awarding the contract.
Contract Terms and Conditions
- The contract will be awarded to the firm that provides the best overall value.
- The selected firm will be required to sign a formal engagement letter and confidentiality agreement.
- All audit workpapers and reports remain the property of FFI Kenya.
- The auditor must maintain confidentiality of all FFI Kenya information and comply with data protection requirements.
- The auditor must adhere to professional ethical standards and independence requirements.
