In-House Legal Counsel & Company Secretary at WTS Energy

We are seeking to hire an In-House Legal Counsel & Company Secretary to provide legal, commercial, regulatory, and company secretarial support. Based in Nairobi and reporting to the GCEO, the role will manage day-to-day legal matters, commercial contracts, litigation, corporate governance, regulatory compliance, external counsel, and legal risk management.

The role will also support the company’s upstream oil & gas activities, specialised waste management operations, subsidiaries, SPVs, and related entities as required.

Key Responsibilities

• Provide practical legal advice to management on corporate, commercial, regulatory, employment, contractual, and operational matters.
• Draft, review, and negotiate commercial, operational, procurement, service, and other business contracts.
• Advise on contractual risks, claims, liabilities, variations, renewals, terminations, and dispute resolution.
• Manage litigation, claims, disputes, and arbitration matters, including coordination of external advocates.
• Act as Company Secretary, supporting Board and shareholder meetings, resolutions, minutes, statutory registers, filings, and corporate records.
• Advise the Board and management on corporate governance, directors’ duties, company law, and statutory obligations.
• Monitor legal and regulatory compliance, including licences, permits, statutory obligations, and regulatory requirements.
• Provide legal support to upstream oil & gas activities, JVs, JOAs, oilfield services, and waste management operations.
• Support subsidiaries, SPVs, JVs, and related entities on corporate, contractual, and regulatory matters.
• Manage relationships with external legal advisers and monitor legal matters and external legal costs.
• Identify and advise management on key legal, contractual, regulatory, and compliance risks.
• Develop and maintain legal templates, policies, procedures, and appropriate legal records.

Required Qualifications

• LLB degree and Advocate of the High Court of Kenya.
• Current membership of the Law Society of Kenya (LSK).
• Qualified Company Secretary and/or member of the Institute of Certified Secretaries (ICS).
• Minimum 7 years’ post-qualification experience.
• Strong experience in commercial contracts, litigation, corporate governance, company secretarial work, and regulatory compliance.
• Experience supporting subsidiaries, SPVs, JVs, or corporate transactions.
• Experience in energy, oil & gas, petroleum, waste management, or another regulated sector is highly advantageous.
• Exposure to upstream oil & gas operations is an added advantage.
• Strong commercial judgement, negotiation, legal drafting, communication, and stakeholder management skills.
• Ability to work independently and provide practical, business-focused legal solutions in a fast-paced environment.
