    Legal & Compliance Manager

    PURPOSE OF THE ROLE

    Provide specialist legal advice to ensure legal soundness of operations including managing various legal claims impacting the business and ensure that all Cannon Group operations comply with government regulations, industry-specific requirements and Group policies.

     PRIMARY DUTIES & RESPONSIBILITIES

    1. Litigation:
      1. End to end management of all high value insurance litigation matters and corporate matters including review of summons, determination of reserve as well as on settlement, appointing & management of external advocates, review of files coming up for hearing, review of judgments, determination on whether to appeal etc.
      2. Update the court diary, register of summons, judgments register and any other necessary registers/diaries for matters personally handling.
      3. Ensure declaratory suits are filed where claims are deemed not payable.
      4. Attend court for all declaratory suits against the Company and file declaratory suits where applicable.
    2. Recoveries
      1. Oversee the team handling recoveries to ensure the recoveries target is met and that the number of claims that are time barred is at a minimum.
      2. Ensure an accurate and complete recoveries register is maintained for all recovery matters with properly marked status.
      3. Ensure all advocates forward all recovered monies to the Company promptly.
    3. Conduct legal research and opinions in relation to matters assigned and as may be required.
    4. Manage debt collection including instituting legal action as may be necessary.
    5. Provide accurate and relevant interpretation of legal documents, contracts, and/or agreements and monitor service levels of legal department providers.
    6. Ensure maintenance of accurate and complete data of all legal matters, including case registers, reports, registers, court diary, bring up diary etc.
    7. Ensure timely settlement of third-party claims, disbursements, advocates, legal fees, and

    doctors’ fees etc.

    1. Supervise the day-to-day operations of the Legal Officers and Recoveries Assistant.
    2. Any other duties as may be assigned by the Company from time to time.

     Compliance

    Provide the Head of Legal & Corporate Services with support in respect of:

    1. Compliance Management
      1. Identify all applicable regulatory compliance requirements, facilitate monitoring and reporting process.
      2. Ensure necessary reporting to the insurance regulator or other authorities is done as prescribed by the regulator.
      3. Pro-active identification and assessment of compliance risk.
    2. Assess the appropriateness of the compliance procedures and follow-up identified deficiencies including formulation of proposals for rectification.
    3. Follow-up on important changes in compliance matters and appropriately advise the Head of Department.
    4. Conduct regular assessments of compliance systems and implement or monitor necessary improvements.
    5. Identify, assess, report on and address key legal and regulatory obligations, including obligations to IRA, KRA, FRC, CMA as well as any other regulators, and the risks associated therewith.
    6. Monitor, advise and report on
      1. the observance of laws, regulations as well as Group policies and procedures
      2. the management of conflicts of interest
      3. observance of the principle of ‘Treating customers fairly’ and ensuring the suitability of customer advice
    7. prevention of money-laundering.
    8. Reporting
      1. Facilitate the confidential reporting by employees of concerns, shortcomings or potential or actual violations in respect insurer internal policies, legal or regulatory obligations, or ethical considerations.
      2. Prepare timely, complete and accurate regulatory reports and ensure review and submission is undertaken to meet applicable deadlines.
    9. Training and awareness
      1. Support regular training on key legal and regulatory obligations particularly for employees in positions of high responsibility or who are involved in high-risk sactivities.
      2. Provide guidance and education to management and staff on compliance issues and act as contact point for related queries.
    10. Demonstrate exemplary leadership behaviour, through personal involvement, commitment and dedication in support of organisational values.
    11. Drive a culture that guides and directs best practice, fostering an environment of continuous learning, improvement and cohesiveness as well as a compliance mind-set.
    12. Take ownership for own learning and development.

     QUALIFICATION AND EXPERIEINCE

    • Bachelor’s Degree in Law. | Essential
    • Advocate of the High Court of Kenya. | Essential
    • Corporate Secretary Qualification. | Desirable
    • Current practicing license. | Essential
    • 7 + years’ post qualification experience in insurance litigation, risk, compliance or internal control, with at least 3 years in a senior role | Important

     KNOWLEDGE AND ABILITY REQUIREMENTS

    1. In-depth understanding of insurance practice, law and regulatory requirements. | Essential
    2. Demonstrable understanding of insurance regulatory framework, insurance practice, litigation management and compliance. |Essential
    3. Broad base of compliance knowledge across financial services and risk management. |

    1. Good communication, reporting and negotiation skills. | Essential
