    IMMEDIATE SUPERVISOR Managing Trustee

    PURPOSE OF THE JOB (JOB SUMMARY)

    Responsible to the Managing Trustee for provision of Board secretarial services and overall formulation, implementation and review of legal policies and procedures. 

    DUTIES AND RESPONSIBILITIES

    Specific duties and responsibilities at this level will entail:-

    • Attending Board & Committee meetings as Corporation Secretary and communicating resolutions of the Board to appropriate departments for timely action;
    • Preparing Minutes of Board & Board Committee meetings in a timely manner and ensure their circulation;
    • Provision of legal opinion to the Managing Trustee on matters relating to compensation, statutory management and liquidation;
    • Overseeing legal and governance compliance reviews;
    • Overseeing preparation and implementation of the Unit’s performance appraisal systems and contracts and instituting operational accountability;
    • Representing the Fund in court as need may be;
    • Liaising with the Fund’s panel of advocates and the Attorney General’s Office on litigation review;
    • Ensuring compliance and renewals of all the licenses, contracts, agreements and permits of the Fund;
    • Reviewing periodic reports and ensuring compliance with local, regional and international instruments;
    • Keeping custody of the Seal of the Fund, Board & Board Committees documents, original contracts, agreements and any other documents of the Fund; 
    • Ensuring statutory compliance of the operations of the Fund and review existing laws and regulations governing operations of the Fund;
    • Advising management, Fund Board and its agents on issues with legal implications; 
    • Interpreting legislation, regulations, rules, guidelines and protect legal interests of the Fund;
    • Overseeing implementation of the Boards legal policies and strategies; 
    • Providing leadership to the legal team in matters of negotiations, arbitrations and court cases; 
    • Providing advice to the Board and implementation of audit recommendations;
    • Drafting contracts and memorandum for the Fund; and
    • Assessing performance, mentoring and coaching of staff under the Officer’s purview.

    REQUIREMENTS FOR APPOINTMENT

    For appointment to this grade, an officer must have:

    • A Bachelor of Laws (LL.B) degree from a recognized and accredited institution;
    • Master’s degree in Law or Master’s in Business Administration or its equivalent from a recognized and accredited institution;
    • A Postgraduate Diploma in Law from the Kenya School of Law;
    • Membership with the Law Society of Kenya;
    • Admission to the bar as an advocate of the High Court of Kenya;
    • Registered as a Certified Secretary of Kenya;
    • A Member of the Institute of Certified Secretaries of Kenya in good standing;
    • Valid practicing certificate from the Law Society of Kenya and Institute of Certified Secretaries of Kenya;
    • Strategic Leadership and Development Programme (SLDP) or its equivalent will be an added advantage;
    • Proficiency in Computer Applications;
    • Demonstrated managerial, administrative and professional competence in work performance and have a thorough understanding of national goals, policies, objectives and ability to relate them to proper management of legal affairs.
    • At least eight (8) years’ relevant experience, five (5) of which should have been at a management position.

    Terms of Offer:

    An attractive remuneration package commensurate with the responsibilities of the position will be negotiated with the successful candidate. Successful candidates in job grades PCF2 and PCF3 will be engaged on a five (5) years contract renewable based on performance.

    Shortlisted candidates will be required to produce the following statutory documents during the interview:

    • Tax compliance certificate from Kenya Revenue Authority;
    • Clearance Certificate from Higher Educations Loans Board;
    • Clearance from the Ethics and Anti-Corruption Commission;
    • Certificate of Good Conduct from the Directorate of Criminal Investigations;
    • Clearance from an approved Credit Reference Bureau;
    • National Identity Card.
