    Corporation Secretary and Director, Legal Services

    Job Description

    Functions of the Corporation Secretary and Director, Legal Services

    The Office of the Corporation Secretary and Director Legal Services is responsible for following functions:

    1. Provide guidance to the Board on their duties and responsibilities and on matters of governance;
    2. Assist the Board in carrying out; Board induction and training, Updating the Board and Committee charters, Preparation of Board work plans, Board evaluation, Governance audit, Implementation of the code of conduct and Ethics;
    3. Ensure the timely preparation and circulation of Board and Committee papers;
    4. Ensure the timely circulation of Board and Committee minutes;
    5. Maintain and update the register of conflicts of interest;
    6. Ensure that Board members are aware of all relevant laws affecting the Commission;
    7. Facilitate effective communication between the Commission and the stakeholders;
    8. Ensure that annual returns are promptly filed with the relevant authorities.
    9. Coordinate litigations for the Board;
    10. Provide guidance on governance and adherence to statutory obligations;
    11. Prepare all contracts;
    12. Custodian of all contracts;
    13. Advise on the fixing of common seal;
    14. Provide legal guidance on contractual and statutory obligations binding to the Commission and legal duties for the Board;
    15. Custodian of Board’s asset register;
    16. Facilitate ratification of UNESCO conventions; and
    17. Any other duties as may be assigned.

    Manager, Finance & Accounts

    Functions of the Finance and Accounts Division

    The Finance and Accounts Division exists to develop financial system and implement sound financial policies, systems, procedures and internal controls in compliance with Statutory Regulations and International Accounting Standards and communication of the financial policies, strategies, and plans and ensure their evaluation thereof.

    Duties and Responsibilities

    The Officer is responsible to the Secretary General/CEO through the Director, Corporate Support Services, for the coordination and implementation of all Finance and Accounts services in a result oriented and timely manner to achieve the Commission’s goals, objectives and agreed performance targets. Duties and responsibilities will entail:

    1. Directing financial planning and the financial strategy of the institution to ensure thesustainability and profitability of the business in the long term;
    2. Participating in stakeholder’s management through regular and proactive engagement withrelevant business partners to ensure sustainable partnership;
    3. Developing and installing effective financial management systems and procedures aimed at improving financial reporting and accounting through effective accounting for member contributions and payment of claims to health service providers;
    4. Developing and ensuring uniform implementation of accounting policies across the head office;
    5. Assessing, managing, and minimizing financial risks by ensuring sufficient internal controls are in place;
    6. Planning and coordinating the timely preparation of monthly and quarterly reports and estimates as well as outlining key activities to be undertaken to achieve desired targets;
    7. Analysing and reporting quarterly and annual reports on financial performance to the board of management;
    8. Coordinating banking services, reconciliation and custody of funds, securities and financial instruments as well as preparing reports which summarize and forecast financial position in areas of revenue collection, expenditure and investments;
    9. Establishing stringent expenditure control procedures to ensure proper authorization for payment is strictly followed, any expenditure incurred are supported by payment vouchers and other valid accounting documents as well as ensuring that budgetary allocations are
      not exceeded without justifiable cause;
    10. Ensuring timely disbursement and payments for goods and services as per contract terms;
    11. Reviewing financial information detailing assets, liabilities and capital and prepare financial statements and other reports to summarize current and projected financial position in order to ensure availability of funds to implement planned activities;
    12. Liaising with the Ministry of Finance/Treasury, the Auditor General’s department and other relevant government bodies on the interpretation and application of relevant financial and accounting regulations in order to ensure that processes conform to government policies
      and procedures;
    13. Overseeing audit and tax functions;
    14. Reviewing departmental budgets;
    15. Designing and implementing appropriate training programs for the directorate; and
    16. Any other duties as may be assigned.

    Director, Research & Consultancy

    Job Description

    Functions of the Research & Consultancy

    The Office of the Director, Research & Consultancy will be responsible for the following functions

    1. coordinate formulation and review of the Commission’s research strategy;
    2. establish key priority areas for research within a given financial year in liaison with various departments in order to provide orderly and timely organization of research in the organisation;
    3. ensure quality research is conducted by or with the Commission in line with UNESCO’s functions of being a clearing house and a laboratory of ideas, to influence policy development in Kenya;
    4. coordinate generation of information and innovations on the UNESCO areas of competence;
    5. ensure timeliness of research projects, budgetary compliance and the reporting thereof;
    6. coordinate the formulation of research proposals for the identified research priority areas in liaison with Programmes Directorate;
    7. provide technical support to departments in development of research  proposals for both internal actors and external partners;
    8. disseminate both national and international UNESCO research findings to the relevant stakeholders for critique, uptake and implementation of the recommendations;
    9. develop research reports, policy briefs and presentations on research for knowledge management;
    10. develop publications on different topical areas relevant to the organizational contributions to the body of knowledge in liaison with the Programmes Directorate;

    Director, Culture Programme

    Functions of the Culture Programme

    The Culture Programme Officers are responsible for the following functions:

    1. Promote involvement of relevant line Ministry, departments, agencies, organizations and individuals dealing in UNESCO Culture programme activities;
    2. Coordinate implementation of Culture programme activities and budgeted programmes;
    3. Coordinate and participate in national, regional and international Culture programme meetings;
    4. Coordinate dissemination of information on UNESCO Culture programme prizes and awards to potential candidates;
    5. Coordinate dissemination of information on UNESCO Culture programme fellowships and study grants to potential applicants;
    6. Coordinate ratification of UNESCO Culture programme related conventions and protocols;
    7. Coordinate Culture programme capacity building activities;
    8. Formulate Culture programmes and activities;
    9. Coordinate development of Culture programme expert advisory opinion;
    10. Coordinate activities of the Culture programme, programme and experts committee; and
    11. Coordinate activities of UNESCO Culture programme related national committees.

    Director, Communication and Information Programme

    Job Description

    Functions of the Communication and Information Programme

    The Communication and Information Programme functions entail:

    1. Promote involvement in UNESCO activities in line with the relevant ministries, departments, agencies, organizations and individuals dealing in Communication and Information;
    2. Ensure implementation of UNESCO Communication and Information activities and budgeted programmes;
    3. Promote linkages between UNESCO and Government ministries, Departments, Counties and State Agencies, UNESCO Agencies, Civil Society, and the private sector concerned with Communication and Information;
    4. Coordinate participation in international meetings on Communication and Information;
    5. Promote dissemination of information on UNESCO prizes and awards to potential candidates and ensure their participation;
    6. Promote dissemination of information on UNESCO fellowships and study grants to potential applicants and facilitate their participation;
    7. Coordinate ratification of UNESCO Communication and Information related conventions and protocols;
    8. Coordinate capacity building in Communication and Information;
    9. Initiate research and collaboration with other partners and across the programme;
    10. Formulate Communication and Information programmes and activities; and
    11. Provide expert advisory service in Communication and Information.
