    Manager/Senior Manager


    Job Description & Summary

    In CMAAS, we support clients in moments of exceptional change such as:
    Growth – Our team of transactions and deals experts advises companies throughout the transaction process, bringing a unique blend of transaction and accounting expertise that helps clients manage the deals process smoothly, compliant and within the timelines. These include Financial Due Diligence, M&A and business valuations.
    Capital raising – We support clients on IPO readiness assessments, identifying key issues and risks early in the process and providing timely guidance to remediate. Our capital markets advisory team advises clients to minimise execution risk to ensure the best possible outcome on capital market transactions.
    Divestiture – CMAAS provides clients with tools and structuring options paper, step plans and balance sheet modelling and carve-outs to navigate complexities around divestitures. We also carry out exit readiness assessments for clients to maximise value for stakeholders.
    Stress – We support clients on complex project advisory to remediate challenges faced during restructuring as well as offer proactive advice to anticipate potential matters and provide options available for their resolution. These include group restructuring.
    Change – Our team of accounting experts support clients through accounting GAAP conversions as well as accounting standards change. Our approach is to make the connections across the organisation and ensure integration of the change across relevant business processes.

    About the Job

    We are seeking to strengthen our team by recruiting highly motivated individuals for the position of Manager in our CMAAS team dedicated to Growth, Capital Raising and Divestiture advisory . You will join a dynamic team to deliver strategic client projects in Valuations/Pricing, Due Diligence, Structuring deals and transactions and / or Lead Advisory in both private and public sector transactions.
    We are seeking to strengthen our team by recruiting highly motivated individuals for the position of Manager in our CMAAS team dedicated to Growth, Capital Raising and Divestiture advisory . You will join a dynamic team to deliver strategic client projects in Valuations/Pricing, Due Diligence, Structuring deals and transactions and / or Lead Advisory in both private and public sector transactions.


    Roles and Responsibilities

    • To lead and deliver Financial Due diligence engagements, support M&A through valuations and pricing
    • Building and reviewing of financial models.
    • Execution of mandates related to mergers and acquisitions (buyouts, disposals), growth capital and debt financing, project / infrastructure finance, privatisations and PPP;
    • To support team leadership and the management of staff and project teams
      • To take up delegated responsibilities for delivery of client work
      • To manage assignment economics as delegated
    • To lead efforts and support business development efforts including networking, deal origination and presentations at seminars and workshops;
    • Preparing and reviewing of transaction documentation including business plans, information memoranda and financial forecasts
    • To develop, coach and mentor junior staff
    • To participate in the firm's and team’s corporate activities and initiatives
    • To actively work with other lines of service to grow the business

    • Experience managing a team of analysts;
    • Willingness to travel and operate at a regional level.
       

    Minimum years experience required

    • Minimum of 7 years’ experience in carrying out business valuations, due diligences and / or lead advisory work in private sector M&A or public sector privatization / PPP transactions in a similar role preferably within a professional services firm, investment bank, and or private equity fund
    • Experience and relationships with a broad range of clients including large corporates, SMEs, family businesses, DFIs, PE firms and impact investors.

    • A Bachelor’s Degree from a recognized institution (e.g. in Finance, Accounting or Economics or another relevant field)
    • ACCA, CPA (K), CFA, MBA or equivalent qualification desirable but not essential provided financial experience and acumen can be clearly demonstrated.

    Essential Skills and Experience

    • Be a trusted adviser, with a track record of advising senior executives and company boards on executing value led digital and/or ICT transformation within leading organisations
    • They will have market presence, having a personal significant track record of delivering impactful results across a large network of clients
    • An inspiring team leader, able to rapidly establish and lead high performing, multi-disciplinary teams, drawn from across PwC, our clients’ staff and third-party organisations
    • Be an accomplished professional in building effective relationships with third-party delivery organisations through the process of sourcing selecting, and managing the technical engagement with vendors/software providers
    • A confident and impactful communicator, both written and verbal, able to clearly explain solution design to non-technical audiences, and technical design to technical audiences
