    Deputy Director Internal Audit

    Job Purpose

    • The holder of the position will be responsible for providing overall direction and leadership of the internal audit function. He/she will be responsible for planning and conducting operational, financial and compliance audits to evaluate the effectiveness of internal controls and risk assurance at the Agency.

     Remuneration

    • Salary Scale: Ksh 179,093 – Ksh 232,821 p.m.
    • House Allowance: Ksh 45,000 p.m.
    • Commuter Allowances: Ksh 12,000 p.m.
    • Leave: 30 days per year
    • Medical Cover: Comprehensive medical cover in accordance with existing KSA HR Policy and Procedures Manual, and Terms and Conditions of Service.
    • Terms of Service: Three (3) year Contract; eligible for renewal for a further 3 years of service based on Satisfactory Performance and Competence.
    • Probationary Period: The new appointee will serve an initial six-month probationary period, and will only be confirmed in their substantive positions following satisfactory performance during the period.

    Required Qualifications and Experience

    • Master’s Degree in Business Administration Finance option or Accounting or its equivalent qualification from a recognized institution.
    • Bachelor’s Degree in Business Administration, Finance or Accounting option, or its equivalent qualification from a recognized institution.
    • CPA (K), or, CIA (K), or Certified Chartered Accountants (ACCA) or equivalent qualification from a recognized institution.
    • Be a member of the Institute of Certified Public Accountants of Kenya and in good standing.
    • Certificate of Completion of a Senior Management Course (or equivalent) lasting not less than four (4) weeks from a recognized institution.
    • Be a Certified Information System Auditors (C.I.S.A) from a recognized institution.

    Previous relevant work experience required

    • At least ten (10) years working experience in public and private sector, four (4) of which must have been in a management position.

     Key Tasks/Responsibilities

    • Steer development and implementation of audit policies, strategies and procedures to ensure achievement of the Agency’s objectives.
    • Institute and implement an effective risk-based internal audit system including an annual audit plan for the Agency.
    • Regularly assess the effectiveness of internal controls and risk management system at the Agency and advise the Board and management accordingly.
    • Monitor the effectiveness of financial and non-financial performance management systems.
    • Continuously assess compliance with applicable laws, regulations, policies and procedures.
    • Assess whether resources are acquired economically, utilized efficiently and adequately protected.
    • Ensure timely preparation and submission of audit reports and follow up implementation of recommended actions.
    • Review reports of programs implemented by KSA to ascertain whether results are consistent with the strategic objectives and goals and whether the operations or programs are carried out as planned.
    • Liaise with external auditors for systems and financial audits of the Agency and follow up implementation of audit observations and recommendations.
    • Carry out, as appropriate, any special audit tasks, forensic audits or projects requested by management or the Board Audit Committee.
    • Serve as the Secretary to the Board’s Audit Committee, ensuring timely preparation and distribution of agenda items, minutes, and follow-up on committee resolutions.
    • Support various directorates and sections in risk profiling, including identifying, evaluating, and documenting key risks to facilitate informed decision-making and enhance risk management practices across the Agency.
    • Review the correctness and accuracy of accounting reports, ensuring financial statements and records are reliable, complete, and compliant with relevant accounting standards and regulations.
    • Support the efficient use of the organization’s assets and ensure proper accounting of these assets to safeguard against misuse, loss, or misappropriation.
    • Identify training needs within the Internal Audit Department, and coordinate or recommend appropriate capacity-building initiatives to ensure professional development and performance improvement.
    • Promote knowledge management in the department, including the documentation, sharing, and retention of audit knowledge, tools, and best practices to enhance institutional learning and continuity.
    • Oversee development and review of audit-related policies, frameworks, and standards to align with professional best practices.
    • Guide assessment of governance, budgetary performance, financial management, and transparency mechanisms across the Agency.
    • Advise on risk mitigation, internal controls, and use of modern audit technologies, including during new projects and product development.
    • Lead departmental initiatives including staff development, business continuity planning, client satisfaction surveys, benchmarking, and business process re-engineering.

    Deputy Director Legal Services

    Job Purpose

    • The holder of the position shall be responsible for overseeing the design, implementation and review of the laws, rules, codes, regulations and standards at the Agency. The holder also guides the Board on governance matters and ensures the Agency’s governance framework is properly designed, implemented and maintained. In addition, the jobholder shall maintain all legal documents, reports and records as prescribed by law.

     Key Tasks/Responsibilities

    • Serve as the principal legal advisor to the Agency Board and management on all matters including contractual and statutory obligations, as well as corporate governance matters.
    • Oversee legal policy development and strategic advisory, including formulation and review of legal frameworks, rules, regulations, codes and standards; conducting legal research; and advising on emerging issues.
    • Manage corporate legal and governance documentation, including Board secretariat support, legal budgets, Board calendars, and protection of the Agency’s intellectual property.
    • Provide comprehensive legal services, including investigation, drafting, interpretation, and review of contracts, legal instruments, and regulatory compliance matters.
    • Lead legal representation and litigation management, including coordination with the Attorney General, external advocates, and law enforcement agencies.
    • Assist the Board in carrying out Board induction and training; updating the Board and Committee Charters; Preparation of Board Work Plans; Board Evaluation; Governance Audit; and implementation of the code of conduct and ethics.
    • Ensure timely preparation and circulation of Board and Board Committee Papers, as well as timely recording and circulation of Board and Committee minutes.
    • Oversee the drafting, vetting, implementation and review of legal agreements and contracts in liaison with relevant Directorates, Departments, and Sections.
    • Ensure the Agency complies with statutory and other legal requirements.
    • Coordinate the preparation and publication of legal notices and any other gazettement.
    • Facilitate effective communication between the organization and the shareholders.
    • Ensure that regular returns are promptly filed with relevant authorities.
    • Maintenance of the Agency’s Asset registers.
    • Coordinate stakeholder engagements in consultation with the Director General / Chief Executive Officer.
    • Institute and coordinate alternative dispute resolution mechanisms where necessary.
    • Institute regular governance, legal and compliance audits of the Agency as necessary.
    • Record and maintain committee minutes, and ensure maintenance of accurate and official records of committee deliberations and decisions.
    • Maintain and update the register of conflicts of interest, tracking disclosures and ensuring compliance with ethical standards.
    • Ensure that Agency members are aware of all relevant laws affecting the organization, through timely updates and legal briefings.
    • Except in exceptional circumstances, ensure that Agency and Committee papers are circulated in advance of any meeting, to promote informed discussion and decision-making.
    • Coordinate litigations for the Agency, including liaising with external counsel, managing case files, and overseeing legal proceedings.
    • Prepare all contracts for the Agency in accordance with established legal frameworks and organizational requirements.
    • Act as custodian of all contracts, maintaining secure and organized records of legal agreements.
    • Advise on the fixing of the common seal outside registration, ensuring compliance with legal procedures and internal policies.

    Deputy Director Human Resource Management and Administration

    Job Purpose

    The holder of the position will be responsible for ensuring the Agency has requisite Human Resource capacity that is adequately developed to enable it to deliver on its mandate. The holder will develop and implement effective administrative policies, procedures and processes. The holder will also be responsible for providing strategic policy direction and leadership in human resource management and development, as well as overseeing administrative services and ensuring prudent use of financial and physical assets.

    Key Tasks/Responsibilities

    • Provide guidance in the development, interpretation, implementation and review of Human Resource management and administration policies, standards and guidelines.;
    • Steer implementation of Terms and Conditions of Service for the Agency, including management of the payroll, compensation, welfare and other incentive / benefits schemes;
    • Analyse staffing levels and manage staff recruitment, deployment, career progression, promotion, discipline as well as succession planning;
    • Establish and institutionalize a knowledge management system to support organizational learning and information retention;
    • Coordinate monitoring and evaluation of training programs, including Training Needs Assessments (TNA) and development of a skills inventory for the Agency;
    • Manage staff exit processes, including separation procedures and processing of terminal benefits;
    • Conduct employee and customer satisfaction surveys to assess service delivery and inform continuous improvement in HR services;
    • Develop and implement risk mitigation and business continuity plans within the HR and administration function, including Business Process Re-engineering (BPR) initiatives.
    • Foster a corporate culture of ethical conduct and good citizenship through stakeholder engagement and internal programs;
    • Develop, review and coordinate implementation of employee performance management systems at the Agency;
    • Implement human resource management rules and regulations in compliance with national labour laws;
    • Institute and maintain human resource management information system and records management system at the Agency
    • Ensure compliance with Human Resource and Administration statutory and regulatory requirements
    • Promote cordial employee relations, values and work ethics at the Agency, and coordinate the institution of grievance handling mechanisms
    • Coordinate reviews and updates of human resource instruments as appropriate
    • Oversee proper maintenance and security of human resource records, to ensure full compliance with the Employment Act 2007 on employee confidentiality as well as the basic staff records to be maintained by employers;
    • Coordinate the day-to-day administrative activities of the Agency including fleet management and maintenance activities;
    • Establish and maintain a catalogue of all Agency’s Assets and Properties, and coordinate disposal of unserviceable and obsolete assets
    • Prepare and implement a maintenance schedule of all Assets in Liaison with other departments and in consideration of the manufacturer’s manual;
    • Coordinate office management services, office accommodation, transport and logistics;
    • Develop and coordinate the Agency’s safety and security management plan;
    • Mainstream national and international human resource frameworks including cross-cutting programmes;
    • Coordinate the Agency’s mentorship and coaching programme;
    • Provide Secretariat to the HRAC responsible for Human Resource Management;
    • Develop and manage staff welfare schemes such as Group Personal Life and accident, medical and insurance schemes;
    • Manage outsourced administrative services where necessary.
