Purpose of the Job
Ensure the company stays compliant, supports governance, and maintains strong stakeholder relationships. Administratively reporting to the Managing Director, manage the legal function of the Company, providing legal advice to the Board and management, overseeing litigation and reviewing contracts to ensure compliance to policies. The position serves as the Secretary to the Board and plays an active role in facilitating key decisions.
Main Duties and Responsibilities
Managerial Roles and Responsibilities
- Prepare and store documents relating to the registration of the company, annual report, notices and minutes for both Board of Directors’ meeting and shareholders’ meeting.
- Handle the meeting for Board of Directors and shareholders’ meeting in accordance with the rules, regulations and relevant laws
- Provide advice on the operation of the Company and the Board of Directors in accordance with Memorandum of Association, Articles of Association, Securities and Exchange Act, Public Limited Company Act and other relevant laws.
- Be a point of contact for directors, executives and shareholders.
- Coordinate and follow up the operation according to the resolutions of the directors and shareholders.
- Prepare various draft agenda notes for the Board / Committees of Directors, Directors Report considering company law aspect,
- Prepare and issue Notice of Board Meeting, Committee Meeting & Annual General Meeting as per the Companies Act,
- Draft various resolutions accordance with the provisions of the Companies Act, and rules thereunder,
- Draft Minutes of Board, Committee, Annual General Meetings, etc.
- Provide expert advice to the Board in respect of current legislations, corporate governance best practice requirements, role of directors, ethical standards, board reporting obligations and proper meetings procedure in the company
- Prepare and review Board and Committee charters, policies and procedures and ensure adherence to same and other emerging governance policies and procedures in the company.
- Advise the organization on the legal aspects of day-to-day administrative matters and also provide legal opinion/advise on industrial development matters.
- Represent the organization in all issues requiring legal address-claims, defamation, legal suits etc.
- Perform any other duties as may be assigned.

- Post Graduate Diploma in law from the Kenya School of Law
- Member of the Law Society of Kenya with current practicing certificate
- Member, Institute of Certified Secretaries (ICSK) in good standing
- Must have at least 12 years relevant experience 5 of which should be senior management position
- Management course lasting not less than four weeks
- Should have thorough knowledge of the relevant industry/sector as well as knowledge of regulatory requirements affecting the relevant sector
- Must have ability to plan, organize, implement and evaluate departmental goals

Job summary:
To provide leadership and guidance to the Finance function by implementation of sound accounting, budgeting and financial control systems and procedures in accordance with International Accounting Standards and the policies approved by the Board of Directors.
Key Tasks
- Ensure that costs are maintained and effectively controlled at acceptable levels and various managers are advised on the Company standards.
- Maintain books of sales, purchases, expenditure and receipts at all times.
- Formulate and maintain an up-to-date register of the Companies assets and liabilities.
- To ensure timely availability of management control information for routine decisions, ensuring satisfactorily management information system needs and ensure that causes for failure to achieve standards.
- To maintain records of all the company insurance and taxation activities.
- Ensure timely completion of monthly trial balances and production of financial statements.

Job Purpose
The Manager will be responsible for coordinating the organization’s strategic planning, business planning, performance management, monitoring and evaluation functions.

Key Responsibilities and Duties
- Coordinating the development, implementation and review of the organization’s Strategic Plan.

Academic and professional qualifications

- A Master’s Degree in Strategic Management, Business Administration, Economics, Finance, Planning, Monitoring & Evaluation or a related field.
- Must have at least 12 years relevant experience 5 of which should be senior management position
