    Assistant Manager Security and Documentation

    REF AMSD/05/2020 : ASSISTANT MANAGER-SECURITY & DOCUMENTATION

    Job Summary

    PURPOSE:
    The role holder will be responsible for assisting the Manager-Securities and Documentation in the creation/verification of the Bank’s security documents within the set parameters to ensure proper and enforceable security documents whilst meeting customers’ expectations in line with the Bank’s strategy.

    Responsibilities


    The Incumbent will report to the Manager, Securities and Documentations and will be responsible for:

    1. Pre-disbursement review & sign off:

    • Ensuring the following are adhered to and undertaken within the time frame set out:
    • Acknowledging receipt of all security documents from the Borrowers via the Relationship Team;
    • Updating the pre- disbursement report for tracking purposes;
    • Reviewing all documents to confirm legal terms and enforceability;
    • Preparing the lodgment/ disbursement sheet;
    • Forwarding the original security documents to custody unit for lodgment;
    • Forwarding lodgment/ disbursement sheet to credit Admin for disbursement and updating of the system with details of security held;
    • Forwarding to credit admin relevant documents to facilitate:
    • Creation of liens in case of cash security;
    • Joint registration of Logbook for HP facilities.

    Supervising perfection of securities by external advocates:

    • Supervising and coordinating the perfection of Bank security documents prepared by the Bank’s external advocates and ensuring completion within the SLA timelines from the date of issuance of instructions to completion.

    Undertaking the following pertaining to perfection of securities:

    • Instructing external lawyers to prepare and finalise all types of security documentation on behalf of the Bank;
    • Reviewing the draft security documents received from external lawyers and also supervising the review of security documents to ensure quality, uniformity and enforceability;
    • Prepare in-house security documents for customers and/or the group companies’ wishing to save on legal fees upon request/instructions from management;
    • Negotiating syndication agreements for and on behalf of the Bank;
    • Liaising with the concerned Relationship Managers in regards to arranging for the execution of security documents by the Bank’s Customers;
    • Reviewing the registered security documents to ensure proper registration before submitting the same the Credit Department for lodgement and giving the disbursements go-ahead;
    • Assisting the Manager, Securities and Documentation in ensuring that all Land charged to the Bank is not negatively listed on the Ndungu Report or NLC Report;
    • Undertakings:
    • Reviewing all undertakings issued by or received by the Bank particularly for the takeover of facilities, sale transactions, release of title documents for creation of tenancy leases, extension of lease, amalgamation or change of user:
    • Maintaining a report of all the outstanding undertakings handled within the department clearly setting out the obligations to be fulfilled, the parties involved and the timelines to be met ;
    • Following up to ensure that the undertaking obligations are fulfilled within the stipulated timelines;
    • Recommending necessary action(s) to be taken in the event of breach of terms by any party to the undertaking(s).

    Reports:

    • Coordinating and ensuring that the pending securities report are sent to the divisional heads and RMs monthly (i.e. corporate division, business Banking, Affluent and Personal Banking);
    • Assisting the Manager, Securities and Documentation, in preparation of the disbursed pending perfection reports to be submitted to RiskCo, CRMC and any other committee as directed.
    • Assisting the Manager, Securities and Documentation, in preparation of the Report on all outstanding undertakings;
    • Coordinating and ensuring the miscellaneous report pertaining to security documents released after disbursement for various reasons (e.g. creation of tenancy leases, extension of lease, amalgamation or change of user).

    Panel of advocates:

    • Ensuring that the law firms provide their firm’s professional indemnity cover and following up for renewal dates as and when expires;
    • Ensuring to procure the Tax Compliance Certificates for each year from the Advocates;
    • Periodically assess the advocate’s performance against the SLA signed between the Bank and the Advocates.

    Other duties

    • Supervising and co-ordinating the review of any other security documentation that the Bank may enter into with third parties; and
    • Advise the Bank on its rights and remedies under any legal documentation.
    • Standard form security documents:
    • Periodically reviewing the standard form security documents to ensure they capture the current market trends and recent development in laws;
    • Periodically arranging for external lawyers to undertake security audits.

    PERSON SPECIFICATIONS

    • Bachelor of Laws (LLB) degree from a recognized university;
    • Diploma in Law (KSL) and Admission as an Advocate with a current practicing Certificate;
    • Minimum Five (5) years’ experience in legal practice of which three years should have been in a Financial Institution;
    • Post Graduate qualifications in a relevant field will be an added advantage
    • Must demonstrate managerial and administrative skills backed by leadership qualities
    • Possess a high degree of professional ethics & personal integrity.
    • Must be hardworking, flexible & service oriented and self -driven;
    • Proficiency in use of computer applications;
    • Ability to work with minimum supervision;

    Legal Administrator

    REF LA/05/2020 : LEGAL ADMINISTRATOR

    JOB SUMMARY

    The role holder will be responsible for assisting the various units within the legal department by providing administrative services and support to ensure smooth flow of work that is well documented which will enable the department meet its overall objective.

    Responsibilities

    The Incumbent will report to the Head of Legal Department and will be responsible for providing support to all units within the Legal Department by

    • Effective coordination and monitoring of documents flow between Legal department and Credit Administration/other Units across the Bank;
    • Preparing the lodgment/ disbursement sheet;
    • Forwarding the original security documents to custody unit for lodgment;
    • Providing necessary support to Head of Department in monitoring performance against SLAs;
    • Scanning of various legal documents for uploading on DMS;
    • Receipt and distribution of mail to the rightful units;
    • Procuring Kenya Gazette Notices and also new acts from the Government printers and attending auctions to record bids; and
    • Assisting in filing.
    • Any other duties as may be assigned by the Head of Department.

    PERSON SPECIFICATIONS

    • Two years’ experience in a busy law firm and/or Court Registry;
    • Diploma in Law from an institution recognized in Kenya is an added advantage;
    • Possess a high degree of professional ethics & personal integrity.
    • Must be hardworking, flexible & service oriented;

    Market Risk Manager

    REF MRM/05/2020 :MARKET RISK MANAGER

    JOB SUMMARY

    The role will support coordination and implementation of the Group’s market, liquidity and country risk management policies and processes. The role will be expected to support the identification and evaluation of market, liquidity and country risks.

    KEY RESPONSIBILITIES

    The Incumbent will report to the Chief Risk Officer and will be responsible for:

    • Management of the Market Risk Control function.
    • Assisting in the planning and implementation of the Liquidity, country risk and market risk policies, framework and internal controls, and ensuring its compliance by the different business units;
    • Participating in preparation of reports for the different Executive management  and Board committees;
    • Leading and managing the implementation of the Basel framework requirements and internal governance, and overseeing the regulatory submission if any;
    • Leading and managing projects related to the Bank’s market risk framework;
    • Assisting in the liquidity, and  market risk quantification under the ICAAP process;
    • Overseeing the daily capturing, monitoring, controlling and reporting of the Bank’s market and liquidity risks and ensuring these are reported accurately;
    • Ensuring detailed understanding of all P&L and risk drivers and ensuring compliance levels against established risk appetite.
    • Developing and implementing processes for the quality control of market data captured by the risk systems;
    • Suggesting, developing and implementing measures leading to a better risk management framework and improvement of internal controls;
    • Ensuring adequate limits (VaR, sensitivities, stress) and risk framework are in place aligning with the Bank’s overall risk appetite and desk mandates
    • Work closely with the Front Office, Middle Office and Back Office Operations to ensure key risk issues are highlighted and addressed prior to introduction of new products.
    • Identifying, monitoring and managing all market related risks across the trading desks
    • Recommending market risk limits(dealer limits, exposure limits etc) in line with the approved  tmarket risk appetite of the Bank
    • Second line monitoring of the market risk in the trading book and  conduct of the trading desks
    • Gaining an understanding of the trading environment in which the different desks operate, including the trading strategies, products, markets and liquidity and discussing and challenging the hedging strategies.
    • Investigating and explaining changes in the Trading Book Regulatory Capital
    • Monitoring and explaining changes in derivatives margins
    • Preparing monthly  market risk reports for ALCO & EXCO
    • Preparing quarterly reports for the Board Risk and Board Audit & Risk Committee meetings
    • Monitoring  Counterparty Credit Risk in the Trading book and developing  basic metrics used to capture and manage it (e.g. Expected Positive Exposure, Potential Future Exposure)
    • Development of comprehensive stress tests scenarios covering key market risks in the trading environment and ensuring periodic stress test market risk is done in line with regulatory requirements and for management decision purposes.
    • Communication of key risks to senior management and the Board, including creation of presentations articulating key risks in an easy to understand manner.

    QUALIFICATION AND COMPETENCE REQUIREMENTS

    • Experience of at least 5 years in of relevant professional experience in banking and/or financial markets.
    • Degree in Economics, Finance, , Mathematics, Actuarial Science  or similar
    • Post graduate qualifications such as CFA and MBA will be an added advantage.
    • Exposure to Treasury Front Office/Back Office and General Ledger reporting systems
    • Fluency in English, with excellent oral and written communication skills
    • Proficiency in Excel to maintain, improve and develop reporting tools
    • Good understanding of Market Risk concepts and metrics (VaR, NII, scenario analysis, risk sensitivities, etc.), and governance frameworks
    • Thorough understanding of VaR, stress test methodologies and knowledge of valuation models for FX and derivatives.
    • Working  knowledge of techniques to measure and manage interest rate risks arising from non-trading activities (IRRBB)
    • Strong knowledge of Capital Market activities and main instruments
    • Ability to analyse, summarize and present data/results
    • Strong quantitative, analytic and problem-solving skills
    • The ideal candidate is curious, detail-oriented, self-starter and communicates easily and openly.

    • Good interpersonal communication skills and ability to work as a team
    • Strong leadership and coaching skills
