    Corporate & Commercial Associate/Advocate

    Key Responsibilities

    • Involvement in all aspects of mergers and acquisitions (“M&A“), joint venture and private equity transactions, such as:  
    • conducting legal due diligence investigations and preparing due diligence reports, in this regard, particular emphasis will be placed on your ability to identify legal and commercial risks.
    • forming new business entities and structuring businesses and their corporate affairs.
    • drafting/negotiating/reviewing of a host of transaction documents (including term sheets, subscription agreements, sale of shares agreements, shareholder agreements, distribution agreements, supply agreements and sale of business agreements).
    • managing workstreams and various teams on transactions and facilitating the closing and implementation procedures.
    • Advising on various aspects of applicable legislation in an M&A context, including, but not limited to, the Companies Act, 2015.
    • Drafting/negotiating/reviewing of constitutional documents, memoranda of incorporation, shareholders agreements and general company secretarial attendances (for instance, the preparation of notices and minutes of meetings and company board and shareholder resolutions).
    • Drafting/review of an assortment of commercial contracts (for example, non-disclosure agreements, service level agreements and lease agreements) and providing legal advice thereon.
    • Research and furnishing legal opinions and advice on a wide range of legal issues (first-hand experience with the energy and infrastructure sector is preferable).
    • Knowledge of Tax law and understanding of Competition and Employment law.
    • Delegating to, mentoring, training and working with junior professionals within and outside of the Corporate & Commercial Department.
    • Managing various team members (including senior lawyers within and outside of the Corporate & Commercial Department) in M&A transactions.
    • Assisting with the day-to-day practice management, by;
    • preparing and settling invoices
    • engaging with clients regarding invoices

    Skills & Qualifications

    • University Law degree;
    • Admission as an Advocate in the High Court of Kenya with a current Practicing Certificate.
    • 3-6 years’ experience post admission in a general corporate commercial law firm practice.
    • Mergers and acquisitions (“M&A”), joint venture and private equity transactions. Ability to administer and execute instructions, from receipt to conclusion, with minimal professional supervision.
    • Strong organizational skills, meticulousness, and high attention to detail.
    •  Ability to prioritize and coordinate work to meet deadlines in a highly pressurized environment. 
    • Be a team player, who takes his/her clients and work seriously. 
    • Be able to engage with often difficult and demanding clients who will interrogate your reasoning and require you to justify your legal arguments and commercial input. 
    • Show interest and an appreciation of what is happening around you and have an interest in business, i.e. understand that political and economic events may have an impact on your clients and your practice.
    • Ability to take initiative and assume responsibility for monitoring the expeditious progress of transactions.

    HR Manager

    Responsibilities

    • Provide an employee-oriented high-performance culture emphasizing on quality, productivity, and goal attainment.
    • Provide guidance and input on department structure, workforce planning, and organization for a rapidly growing team.
    • Liaises with finance departments for manpower-related costs to plan strategically to meet current and future manpower needs.
    • Develops the framework and oversees the manpower planning
    • Develop a high-performing culture, by embedding values and behaviors, whilst maintaining high engagement across the business.
    • Identify business needs and deliver relevant and effective HR initiatives as required
    • Support current and future business needs through the development, engagement, motivation, and preservation of human capital.
    • Develops HR programs, and processes in the different areas related to Human resources (including learning & development, performance evaluation, compensation and benefits management, and employee health and well-being).
    • Ensure legal compliance throughout human resource management
    • Proactive development of succession planning and training & development.
    • Participating in administrative staff meetings.
    • Administration of employee-related paperwork, such as employment contracts, new starter packs, disciplinary hearings, or formal notices of termination.
    • Administer and supervise existing QHSE and ISO programs.
    • Provide strategic and operational support for the management, contributing to bringing to life our HR vision and expected mindset & behaviors.

    Qualifications

    • Degree or Masters in Human Resource Management or related field.
    • Professional qualifications in CHRMP.
    • Minimum of 7 years relevant experience with at least 5 years in a managerial role in HR.
    • Experience in a Multinational environment will be an added advantage.
    • Experience in strategic management, change management, organizational design, performance management, and employment legislation and regulations
    • Strong listening skills,
    • Excellent leadership, analytical, organizational, problem-solving, and project management skills
    • Sense of pragmatism, solution-oriented
    • Open and pro-active team player building trust and credibility and establishing positive and productive working relationships with a diverse array of stakeholders
    • Ability to navigate with agility within a matrixed organizational structure.

    Sales Manager – Publishing

    Key Responsibilities:

    • Own ultimate responsibility for successfully meeting or exceeding sales goals
    • Build a highly competent Sales team by identifying, recruiting and managing high quality talent that will drive the business strategy forward.
    • Create a clear plan for the Sales department covering activity schedules, budgets, expenditures and sales goals in close cooperation with the internal teams.
    • Analyze sales statistics to measure business growth and determine strategies for increased performance. Conduct regular check-in meetings to report on performance.
    • Equip the sales teams with the information, tools, and resources to effectively sell our titles
    • Process sales representatives commission reports
    • Maintain communication with internal teams and customers regarding sales and marketing initiatives.
    • Assess inventory stock levels and contribute to decisions around print run and replenishment
    • Assist with individual account queries including order placement and invoicing
    • Develop and maintain relationships with key customers and accounts

    Requirements

    • Bachelor’s degree in any related field.
    • Proven record in identifying, recruiting, and nurturing salespeople to meet sales targets.
    • Proven record-setting targets with team members and holding team members accountable to their commitments.
    • Proven record to lead a team to meet or exceed targets over a minimum of 2 years.
    • Proven record managing key customer accounts overseeing the management of key accounts that deliver more than 5 million revenues per year.
    • Positive history with protocols and procedures such as reporting, participation in team activities, engagement with teams and management.
    • Experience in Educational Sales is a plus.

    Sales Representatives – Publishing

    Key Responsibilities:

    • Visiting clients including schools and bookshops to market and sell More Africa Series books.
    • Collecting and submitting detailed data of all institutions covered i.e. name of school, name of contact person, and designation of contact person, telephone and email contacts.
    • Collecting payments from your client through authorized channels.
    • Preparing accurate daily sales reports detailing coverage, sales and collection activities conducted.
    • Being in the best professional character at all times while representing the publisher and its products.
    • Performing any other duties as will be assigned by your supervisor from time to time.

    Requirements

    • Minimum 2 years sales experience.
    • Previous experience in Educational sales experience is a MUST.
    • Demonstrated end-to-end sales success of at least Ksh. 750,000 per month.
    • Positive history with protocols and procedures such as reporting, participation in team activities, engagement with teams and management.
    • Certificate of good conduct.
