    Risk & Control Officer

    Ref Number: TSL/RCO/01/2019

    Duties and Responsibilities:

    • Reviews and updates the existing database of Standard Operating Procedures (SOPs); and propose amendments to strengthen the current operational environment
    • Monitor the implementation of the risk assessment framework through the development of a risk-based Compliance monitoring system;
    • Monitor implementation of action plans to ensure risk mitigation efforts are proceeding as required;
    • Develop and oversee control systems to prevent or deal with violations of legal guidelines and internal policies;
    • Evaluate the efficiency of controls and improve them continuously;
    • Advice and make recommendations to the Board of Directors on appropriate strategies to strengthen controls and mitigate potential risks for adequate compliance to rules and regulations and good governance of the organization;
    • Develop a strong culture of compliance awareness and ensure a consistent approach across the different units as well as disseminate information on compliance initiatives;
    • Conduct risk assessments on the different processes, which will involve identifying, describing and profiling the risks affecting the organization as well as evaluating the identified risks against the organization’s risk appetite;
    • Ensure that risk and compliance management policies and strategies comply with applicable regulations and the strategic requirements of the organization;
    • Liaise with departmental/unit heads in ensuring completion and monitoring of quality risk registers; creating a viable control environment and supporting the enhancement of internal controls;
    • Assess the business’s future ventures to identify possible compliance risks;
    • Keep abreast of regulatory developments within or outside of the company as well as evolving best practices in compliance control;
    • Handle corporate governance involving external risk reporting to stakeholders;
    • Provide monthly risk and compliance report to the Board of Directors
    • Seek to identify, understand and escalate the risk events/incidents/ issues on a timely basis focusing on fixing root-causes and taking ownership of identified mitigating actions;

    QUALIFICATIONS

    • Bachelor’s degree in a business course Information Technology, economics, mathematics or related fields
    • Certified Information Systems Auditor (CISA) or Certified Information Security Manager (CISM) certification. IT security and risk certifications e.g. CISSP, CRISC, CEH, etc. will be an added advantage.
    • A business acumen partnered with a dedication to legality Methodical and diligent with outstanding planning abilities
    • An analytical mind able to “see” the complexities of procedures and regulations
    • Excellent communication skills
    • Knowledge of Risk Management and Compliance practices;
    • Sound judgement in dealing with delicate and confidential information; Able to train and motivate staff in Compliance and Risk Management tasks;

    Legal Officer

    Duties and Responsibilities:

    • Drafts corporate legal documents and prepares case notes for review by the company’s Lawyer
    • Defines legal implications on business activities and services rendered by the company
    • Prepares board meeting reports and other regulatory reports for review by the Board of Directors and filing
    • Conducts research on relevant statutes, rulings and precedents to guide the company in responding to legal opinions.
    • Acts as the custodian of company contracts and other legal documents ensuring that they updated and enforceable
    • Provides useful inputs in contract management and the formulation of agreements with customers
    • Assists in the review of corporate documents, corporate resolutions, and Service Level Agreements
    • Supports communication with external parties on legal matters
    • Maintains close liaison with external company lawyers
    • Makes recommendations for the prompt resolution of legal issues in order to avoid litigation proceedings
    • Attends court proceedings whenever required in liaison with external lawyers and relevant regulatory authorities as needed
    • Assists in reviewing the company’s policies and procedures, corporate governance documents and files
    • Oversees the implementation of company policies across all departments
    • Works to ensure protection of intellectual property across all units of the organization
    • Maintains all legal documentation within the department ensuring proper filing and completeness
    • Prepares monthly compliance report and submits to the Board of Directors

     

    QUALIFICATION

    • A bachelor’s degree in law from a recognized university;
    • Advocate of the High Court of Kenya with a valid practicing certificate;
    • At least three (3) years proven work experience in the legal field;
    • Experience in litigation, legal drafting and legal research;
    • Capacity to demonstrate strategic mind-set and innovation;
    • Ability to deliver results in a complex and dynamic environment;
    • Demonstrate ability to manage and lead high performing teams;
    • Demonstrate knowledge of relevant legislation and applicable standards;
    • High level of integrity and interpersonal skills;
    • Ability to work with minimum supervision and under strict timelines;
    • High level of attention to detail;
    • Possess problem solving skills;
    • Excellent analytical and communication skills
